1. The club carries the name Hanse Lounge – The private Business Club 2. The club is listed in the register of companies and the domicile is Hamburg. 1. The philosophy of the Hanse Lounge revolves around social encounters. The stylised sail of a “Hanse” cog in the club logo symbolises solidarity with the ideals of the “Hanse” and it’s honorable merchants. We welcome both ladies and gentlemen to become members. Both single membership and corporate membership is possible. 2. Club membership is enhanced by the extensive offer of talks, discussions and cultural events. The club rooms are of course available to members for private functions. 3. The club is restricted to the city of Hamburg, however does not exclude interaction with other similar clubs. The business year is the calendar year. The club has: a) Members resident in Germany b) Foreign members c) Partner members d) Honorary member Persons wishing to become a member of the Hanse Lounge, must be proposed by two existing members, who have had a membership for at least one year. The members need to confirm the proposal with their signature and a letter of recommendation. The proposal must be filed in writing with the name, profession and address of the nominee. A decision will be made by the advisory board within 90 days and in the case of a positive outcome, the membership contact is concluded. In the event of admission, the admission and annual subscription fees become due instantly. Should there be an admission stop, candidates will be waitlisted. The waiting list will be dealt with according to receipt of application. The admission entitles the member to use of the Hanse Lounge premises and facilities and of those of cooperating partners (to the conditions agreed with the Hanse Lounge), as well as to attend events arranged by the Hanse Lounge. Members are allowed to bring guests with them to the premises and agree to observe club rules. Membership is non transferable 1. Membership can be terminated by: a) Resignation b) Revocation of office (consul, senator, etc.) c)Cancellation d) Death The membership contract can be terminated by the club member in writing by 30.09. to the end of each calendar year. The advisory board is entitled to terminate a membership with due reason. This is especially by non-payment of invoices within 6 weeks of the due date or within 3 weeks of a reminder. On completion of contract, members are obliged to pay a single admission fee and from then on an annual fee. The fee amounts are stipulated by the advisory board according to rates at the time of application. The fees can be increased from time to time within an acceptable amount in order to align with rising costs. All fees are due in January of each calendar year and are to be paid within 4 weeks after receipt of invoice. For memberships commencing after the 30th June, only half the annual fee will be invoiced. If membership commences between October and December, the first annual fee will not be due until January of the following year. Abweichende Vereinbarungen bedürfen der Schriftform. The „Member Card“ will be issued after acceptance by the advisory board. The membership card is to be returned to the club on Termination of membership, as this remains under ownership of the Hanse Lounge. Should the card not be returned within 4 week after termination of membership, an amount of 100.-€ will be charged. 1. The advisory board exists of 7 members, who are appointed and recalled by the management board of the Hanse Lounge GmbH & Co. KG. 2. The management board of the Hanse Lounge GmbH & Co. KG assigned responsibility to the advisory board to decide on the acceptance of new members to the best of their knowledge and conscience, after the constitutive meeting on 15th July 2003 The advisory board has no further function. The advisory board may make non-binding suggestions to the management board regarding the development of the club. The advisory board decides with a 2/3 majority of the attending members. Objections made in writing are considered as attending. 3. The advisory board is entitled to terminate or suspend a membership with due reason. 4.
